About Vertical Healing

Vertical Healing Foundation (VHF) is a registered 501(c)(3) nonprofit organization headquartered in the Triangle region of North Carolina. The Foundation exists to eliminate food insecurity and food deserts by providing 100% of its locally grown, nutrient-dense produce— cultivated through sustainable vertical aeroponics—free of charge to communities in need.Vertical Healing Foundation donates 100% of all produce grown through its programs to local ministries, food banks, shelters, and community organizations. Someone can experience food insecurity even if food exists nearby, if they can’t afford it or access it consistently.

Food Desert is a geographic area where residents have limited or no access to affordable, healthy food, especially fresh fruits and vegetables.

Summary of Organizational Relationship

Between Vertical Healing Foundation and Vertical Healing Tower Farm LLC1. OverviewVertical Healing Foundation (“the Foundation”) and Vertical Healing Tower Farm LLC (“the  Farm”) operate as two distinct yet mutually supportive entities designed to work in concert  toward a unified mission of combating food insecurity. The Foundation functions as a registered  nonprofit organization under Section 501(c)(3) of the Internal Revenue Code, while the Farm  operates as a privately owned, for-profit limited liability company. Together, they form a  mission-driven partnership in which the Foundation serves as the charitable arm and the Farm  serves as the operational production arm.2. Purpose and Mission AlignmentThe Foundation’s primary mission is to alleviate food insecurity and promote nutritional  access by donating produce grown through its programs to local food banks,  shelters, schools, and community organizations.The Farm’s primary purpose is to grow high-quality, sustainable produce exclusively for the  Foundation through vertical aeroponic systems. The Farm supports the  Foundation’s charitable programs by producing, maintaining, and harvesting crops in alignment  with the Foundation’s mission and quality standards.Both entities share a unified vision: to create a replicable model of sustainable agriculture that  nourishes communities and inspires local food resilience.3. Structural RelationshipThe Foundation and the Farm maintain separate legal, financial, and governance structures to  ensure compliance with IRS and state nonprofit regulations, while engaging in a contractual  service relationship for operational efficiency.• The Foundation contracts with the Farm for the provision of agricultural production,  infrastructure management, and operational support services necessary to fulfill the  Foundation’s programs.• The Farm operates as the sole producer and supplier of all fresh produce distributed by  the Foundation.• The Foundation is responsible for fundraising, donor relations, grant management,  community outreach, and distribution of all produce.• The Farm is responsible for growing, maintaining, and harvesting the crops according to  the standards and quantities outlined in its service agreement with the Foundation.4. Roles and ResponsibilitiesVertical Healing Foundation (Nonprofit):• Owns and directs all charitable programs, including “Adopt-a-Tower,” education, and  community donation initiatives.• Receives and administers all charitable donations, sponsorships, and grants. • Manages distribution channels for all produce donations.• Ensures compliance with nonprofit governance, transparency, and charitable use  requirements.• Acts as the public-facing and community engagement representative of the Vertical  Healing mission.Vertical Healing Tower Farm LLC (For-Profit):• Operates, manages, and maintains all vertical aeroponic tower systems. • Provides the infrastructure, labor, and materials necessary for the cultivation of produce. • Invoices the Foundation for contracted production and operational costs. • Transfers 100% of harvested produce to the Foundation for donation.• Maintains operational excellence, efficiency, and innovation in sustainable farming  practices.5. Identity and Public RepresentationWhile both entities operate under the shared “Vertical Healing” name to reflect their unified  mission, their public roles are distinct:• The Foundation is the face of the mission — representing the charitable vision,  community programs, and donor engagement.• The Farm is the engine behind the mission — managing the production, cultivation, and  logistical operations necessary to fulfill the Foundation’s programs.All public communication and branding will clearly identify the Foundation as the nonprofit  entity responsible for charitable activities, and the Farm as its operational partner under contract.6. Summary StatementThe relationship between Vertical Healing Foundation and Vertical Healing Tower Farm  LLC is one of mission alignment and functional partnership.The Foundation embodies the charitable purpose — feeding communities and fighting food  insecurity.The Farm embodies the operational engine — producing the food that makes that mission  possible.Together, they form a sustainable, transparent, and replicable model of modern agriculture  serving the greater good.
